Welcome to OmniFlow ("Service," "Platform," "we," "us," or "our"), operated by NE Wind Labs. By accessing or using our APIs, dashboard, or any related services, you ("Customer," "Partner," "User," "Data Fiduciary") agree to be bound by these Terms of Service ("Terms").

1. Description of Service

OmniFlow is a Communications Platform as a Service (CPaaS) that enables enterprise applications to programmatically send and receive messages across multiple channels, including WhatsApp Business API, SMS, and Email. OmniFlow acts exclusively as a technical infrastructure provider (Data Processor) routing communications on behalf of our Partners and their sub-Organizations (Data Fiduciaries).

2. Account Registration and Provisioning

  1. Partner Accounts: You must register an account to access the API. You agree to provide accurate, current, and complete information.
  2. Sub-Organizations: Partners may provision sub-organizations using the Admin API. Partners are strictly and legally responsible for the compliance of all sub-organizations operating under their API keys.
  3. Security: You are responsible for safeguarding your API keys and credentials. OmniFlow is not liable for unauthorized access resulting from your failure to secure your credentials.

3. Acceptable Use and Compliance (AUP)

You agree NOT to use OmniFlow to:

  1. Send unsolicited communications, spam, or messages that violate the CAN-SPAM Act, TCPA, or the Digital Personal Data Protection Act (DPDPA).
  2. Transmit content that is abusive, harassing, defamatory, fraudulent, or promotes illegal activities.
  3. Bypass, overload, or maliciously exploit the Platform’s rate-limiting or infrastructure.

OmniFlow reserves the right to immediately suspend or terminate access to any Application or Organization found violating the AUP.

4. Statutory Compliance under DPDPA and TRAI

As the Data Fiduciary under the India DPDPA, you warrant and represent that:

  1. Notice and Consent: You have provided clear, itemized Notice and obtained verifiable, explicit Consent from the Data Principal (end-user) before initiating any communication through our API.
  2. DLT Compliance: For SMS traffic directed to Indian mobile numbers, you must comply fully with Telecom Regulatory Authority of India (TRAI) regulations regarding Distributed Ledger Technology (DLT). You must attach valid Principal Entity IDs and DLT Template IDs to your API requests. Failure to provide valid DLT registration data will result in message rejection by downstream carriers.

5. Billing and Quotas

  1. Postpaid & Prepaid Models: Services are billed based on the number of messages processed and the respective channel costs (e.g., WhatsApp conversation pricing).
  2. Rate Limits: We impose fair-use rate limits on API requests to ensure platform stability. Exceeding these limits will result in 429 Too Many Requests responses.
  3. Refunds: Because costs are incurred instantly with downstream telecommunications providers upon message dispatch, payments for processed messages are non-refundable.

6. Data Processing and Retention

  • Data Processor Role: OmniFlow acts exclusively as a Data Processor. We process personal data solely on your instructions to deliver messages.
  • 90-Day Retention Constraint: OmniFlow enforces a strict 90-Day Data Retention Policy. Message payloads and delivery logs are irretrievably scrubbed 90 days after creation. This is to ensure data minimization while complying with basic security auditing standards.

7. Limitation of Liability and Indemnification

To the maximum extent permitted by law, NE Wind Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages. Indemnification: You agree to indemnify and hold NE Wind Labs harmless against any claims, fines, or penalties imposed by regulatory bodies (such as the Data Protection Board of India or TRAI) arising out of your failure to obtain valid Consent from Data Principals or your violation of DLT regulations.

8. Service Availability and SLAs

While we strive for 99.9% uptime, OmniFlow is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind. We do not guarantee uninterrupted service, especially concerning factors outside our control, such as carrier outages.

9. Governing Law

These Terms shall be governed and construed in accordance with the laws of India, and specifically subject to the jurisdiction of the courts where NE Wind Labs is registered, without regard to its conflict of law provisions.
